Latest announcements
Exchange filings and their impact on the company.
- Tax demand raised to Rs 2,418 cr but Mphasis will contest it and sees no material P&L impact.
Mphasis said the Income Tax department revised its AY 2023-24 demand from Rs 2,286.86 crore to Rs 2,417.80 crore due to interest under section 220, via a rectification order dated 9 October received on 13 October. The company said it is evaluating legal remedies and will file a rectification petition for errors in the computation. It added that it does not expect any material impact on its financial statements.
- Mphasis granted ~1.08 lakh options/RSUs, implying negligible ~0.06% dilution.
Mphasis said its ESOP Compensation Committee on 10 October 2026 granted 64,434 stock options under ESOP 2016 and 43,144 RSUs under RSU Plan 2021, totalling 1,07,578 instruments. Each option/RSU entitles the holder to one equity share of Rs 10 each under the respective plan terms. The size is tiny at about 0.06% of outstanding shares, so there is no meaningful impact on earnings or dilution over the next year beyond normal employee retention benefits.
- Mphasis granted 4.9 lakh options/RSUs (~0.26% dilution) with negligible near-term earnings impact.
Mphasis on 7 October 2026 granted 3,25,460 stock options under ESOP 2016 and 1,63,040 RSUs under RSU Plan 2021, totalling 4,88,500 shares. Each option/RSU converts into one Rs 10 equity share. At ~0.26% of shares outstanding, the grant aids retention with only a marginal dilution and ESOP cost over the vesting period.
- Mphasis extended its Social Security Scotland platform maintenance contract, ensuring small recurring revenue continuity.
Mphasis on October 6, 2026 said it will extend its collaboration with Social Security Scotland to manage and maintain the core benefits case management platform serving around 2 million citizens. The work covers support, stability and continuity for benefit applications, eligibility decisions and payments. No contract value, tenure or financial terms were disclosed, indicating a modest recurring extension that supports Mphasis public-sector business rather than a large new win.
