Company to pay Rs 2.36 cr to settle with exited eastern distributors and gets non-compete protection.

Indo-National's board on 12 Oct 2026 approved a memorandum with Radiohms Agencies, RAL Consumer Products and promoter-group member Rajendra Prasad Khaitan. It confirms cessation of the two distributors for Bihar, West Bengal and North-East with effect from 26 Sep 2024 and settlement of dues for a net Rs 2.36 crore payable by the company, with non-compete and non-solicit undertakings. The amount is small versus Rs 452 crore annual sales and Rs 303 crore net worth, so the near-term effect is a one-off cost with protection of its product lines in those regions.

Indo-National paid Rs 3.9 cr for more preference shares in flight-simulator startup Axial Aero, lifting stake to 8%.

Indo-National Limited invested Rs 3.91 crore in cash to subscribe to 35,249 Class C compulsorily convertible preference shares of Axial Aero Private Limited at Rs 1,109.10 per share. Its total holding in Axial Aero rises to 190,761 CCPS or 7.97% from 7.67% earlier. Axial Aero makes motion-based flight simulators for civil and military aviation and reported turnover of Rs 1.43 crore in FY26, up from Rs 0.20 crore in FY25. The size is tiny versus Indo-National's Rs 452 crore sales and Rs 242 crore market cap, so no material earnings impact is expected in the next year.
