Latest announcements
Exchange filings and their impact on the company.
- Subsidiary wins 18-month DaaS mandate for Rs 250 cr GDV Mumbai project; fee likely only Rs 10-15 cr total.
Arisinfra Solutions said its subsidiary Arisunitern RE Solutions has received a service order from Transcon Iconica, an SPV of Transcon Group, for DaaS services for the Transcon Ramdev Plaza commercial project in Santacruz West, Mumbai. The project has an estimated gross development value of Rs 250 crore and the engagement is for an initial 18 months. The filing does not disclose Arisinfra's fee, so the Rs 250 crore is the project size, not the company's revenue, implying only a small addition to its around Rs 1146 crore annual revenue base.
- Subsidiary wins Rs 9.85 cr infra order for execution over 17 months, adding under 1% to revenue.
Arisinfra Solutions said its subsidiary JS Infra Core Private Limited has won a Rs 9.85 crore work order from S.P. Adke's Construction for infra construction work at Bhagur under GE Deolali. The order is to be completed within 17 months and is from a domestic, unrelated party. At under 1% of annual revenue, it adds modest near-term business but does not materially change scale.
- NCLT ordered Nov 25 secured-creditor vote to merge 73.75%-owned high-margin AUSPL into Arisinfra in an EPS-accretive simplification.
Arisinfra Solutions will hold an NCLT-ordered meeting of secured creditors on November 25, 2026 to approve merging its 73.75% subsidiary Arisunitern Re Solutions with itself. The swap is 517 Arisinfra shares of Rs 2 each for every 10 Arisunitern shares, adding about 67.86 lakh shares. The company says the merger will simplify the group, save overheads and be EPS-accretive by removing the minority interest.
- NCLT admitted Arisinfra's merger plea for Arisunitern Re Solutions and ordered shareholder and creditor meetings; final approval still pending.
Arisinfra Solutions said the NCLT Mumbai Bench passed an order on 7 October 2026 admitting its first-motion application for amalgamation of Arisunitern Re Solutions Private Limited into Arisinfra Solutions. The tribunal directed meetings of Arisinfra shareholders and secured creditors and notices to creditors and regulators to consider the scheme. The merger still needs shareholder, creditor and final NCLT and regulatory approvals, so this step has no immediate financial effect.
