5paisa Capital reported Q2 FY27 revenue of Rs 86.5 crore and net profit of Rs 7.1 crore, lower than Q1, as weak market trading volumes coincided with continued spend on technology, product and brand. For the first half, revenue grew 13% to about Rs 175 crore, with allied broking income up 25%, serving 53.4 lakh customers and Rs 2,095 crore of mutual fund assets. The rights issue lifted net worth to Rs 1,136 crore from Rs 650 crore in March 2026, supporting an average client funding book of around Rs 480 crore, while the new trading app with Rs 6.2 crore capitalised in the quarter and the pending Trendlyne acquisition are positioned to drive future engagement.
- Q2 revenue up 12% YoY but PAT down 26% on higher costs, signalling margin pressure.
5paisa Capital reported Q2 FY27 consolidated revenue of Rs 86.4 crore, up about 12% from last year, but net profit fell about 26% to Rs 7.1 crore on higher finance, staff and other costs. For the half year, revenue was Rs 174.7 crore with profit of Rs 18.6 crore, down 11% year on year. The board also approved setting up an IFSC branch at GIFT City for broker-dealer activities, subject to approvals, while a Rs 33.02 crore income-tax demand from a January 2025 search remains under appeal.
- 5paisa to issue 20.5 lakh shares in a non-cash swap for a GDPL stake, about 4.4% dilution with no change in control.
5paisa Capital updated its planned preferential issue of 20.5 lakh equity shares to two public investors, Amber Pabreja and Devi Yeshodharan, in exchange for their stake in GDPL at a 1:31 swap ratio. On a fully diluted basis the new shares are 4.14% of capital and promoter holding falls by about 1.97% with no change in control. As it is a non-cash deal for a minority stake with no target financials given, the near-term business impact is small.
